Terms of Service - Shipanza

Welcome to Shipanza. By using the platform, you fully agree to these terms of service. Please read carefully.
1. Service Description
Shipanza operates a technology platform serving as a digital marketplace connecting users who need delivery services ("Senders") with independent service providers ("Drivers").
Shipanza is not a courier company, does not provide actual delivery services, does not employ drivers and does not physically participate in delivery operations.
The service is available in various areas in Israel and may be expanded or restricted at the company's discretion.
2. Eligibility
Use of the platform is permitted to persons aged 18 and above only.
Drivers are required to meet all legal requirements for vehicle operation and transport in Israel, including a valid driver's license, appropriate insurance and any permit required by law.
3. Sender Responsibility
The sender bears sole and full responsibility for:
- Package contents
- Legality of items
- Appropriate and safe packaging
Shipanza does not inspect, approve or handle package contents.
The sender undertakes that no prohibited or illegal items will be sent, and shall bear full responsibility for any damage, loss, claim or violation arising from the shipment.
4. Prohibited Items
It is strictly prohibited to send:
- Weapons, ammunition or explosives
- Drugs or illegal substances
- Hazardous or flammable materials
- Live animals
- Cash, securities or unusually high-value items
- Any item prohibited under Israeli law
Shipanza reserves the right to block users and transmit information to authorities in case of violation.
5. Driver Terms (Independent Contractors)
Drivers are independent contractors only and are not employees, agents or representatives of Shipanza.
They are fully responsible for:
- Vehicle and transport insurance
- Vehicle maintenance
- Legal compliance
- Tax reporting and payments to authorities
The driver declares that they hold appropriate insurance including coverage for goods transport, and that they are solely responsible for any damage, loss, injury, accident, delay or other incident occurring during the service.
Shipanza bears no responsibility whatsoever for property damage, third parties, or any incident occurring during delivery.
6. User Conduct and Communications
When a driver accepts an order, the sender and that driver can message each other through the in-app chat. It exists only to coordinate that specific move. By using the chat (or any other part of the platform) and by creating an account, you agree to the following:
- Harassing, threatening, or abusing another user
- Hate speech, or sexually explicit, violent, or otherwise objectionable content
- Spam, scams, fraud, or solicitation unrelated to the order
- Sharing another person's private information, or taking the transaction off the platform to evade its safety and payment protections
Shipanza has zero tolerance for objectionable content and abusive behavior. Accounts that post such content or abuse other users will be suspended or permanently removed, and we may report unlawful conduct to the authorities.
Any message can be reported from within the chat (the ⋯ menu → Report), and any user can be blocked. Reports are reviewed and acted upon within 24 hours. For any safety or content concern, contact support@shipanza.io.
7. Contractual Relationship Between Parties
The engagement for delivery services is directly between the sender and the driver only.
Shipanza is not a party to the delivery agreement and bears no responsibility for the performance of the service, its quality, timing or outcomes.
8. Pricing and Payments
Prices are set by Shipanza's pricing engine, never by Drivers. The price is calculated from the details the Sender declares (load size, road distance, access conditions such as floors and lifts, optional services, and timing) and is shown in full, itemised, before the Sender books.
The price shown at checkout is binding. Shipanza cryptographically signs each quote when it is issued, and the Sender is charged exactly the amount that was displayed. Shipanza does not apply demand-based, auction-based or surge surcharges.
Payment is taken at booking. Only then is the order offered (simultaneously, at the price already fixed) to every eligible Driver. The first Driver to accept is assigned. Drivers do not bid, do not compete on price, and can neither set nor alter the price of an order.
The price may change after booking in only two cases: (a) the Sender edits the order before a Driver has been assigned; or (b) at pickup, the Driver reports that the actual load materially differs from what the Sender declared. In case (b) the Driver must submit photographic evidence and a written reason, and Shipanza's pricing engine (not the Driver) recalculates the price. The Sender must approve and pay the difference before the move proceeds, and may decline; the cancellation terms in section 8 then apply.
Payment is made in advance, at the time of booking.
The Sender's payment is processed directly into the Driver's own account with the platform's payment provider. Shipanza does not hold the Driver's funds and does not transfer them.
Platform Commission
Shipanza charges the Driver a platform commission on each order. The applicable commission rate is set out in the terms presented to the Driver on registration and forms part of the agreement between Shipanza and that Driver; it does not affect the price paid by the Sender.
For this purpose, "transaction amount" means the order price as determined by Shipanza's pricing engine and paid by the Sender.
The commission is charged to the Driver separately, after the delivery is completed, and is used for platform operation, maintenance and development.
9. Cancellations and Refunds
Orders may be cancelled in accordance with platform policy.
After job acceptance and explicit confirmation by a driver to perform the order, the following conditions apply regarding driver cancellation:
- Driver cancellation up to one hour (60 minutes) before pickup time - full waiver of cancellation fee
- Driver cancellation between less than one hour and 30 minutes before pickup - cancellation fee of 20% of transaction amount
- Driver cancellation upon arrival at pickup point or close to pickup time - cancellation fee of 30% of transaction amount
Shipanza reserves the right, at its sole discretion, to make adjustments, exceptions or credits in special cases, including cases of exceptional circumstances or force majeure.
Additionally, Shipanza is not responsible for delays or cancellations by drivers, except for a monetary credit in accordance with platform policy.
10. Limitation of Liability
Shipanza provides a technology platform only and is not responsible for:
- Physical injury or property damage
- Traffic accidents
- Loss or damage to packages
- Delays or non-performance of deliveries
- Conduct of drivers or senders
- Disputes between users
All use of the service is at users' sole responsibility.
To the maximum extent permitted by law, Shipanza's liability is limited to the fees actually paid for the relevant order.
11. Indemnification
Users (senders and drivers) undertake to indemnify and defend Shipanza, its employees, managers and representatives from any claim, damage, loss, expense or demand (including attorney's fees) arising from:
- Use of the platform
- Breach of these terms
- Package contents
- Performance or non-performance of services
12. Terms Updates
Shipanza may update these terms at any time. Continued use constitutes agreement to the updated terms.
13. Jurisdiction
Applicable law is Israeli law. Exclusive jurisdiction is vested in the courts of Tel Aviv-Jaffa.
